GREEN VALLY RANCH MEN’S CLUB

BYLAWS

Enacted 2008

 

 

ARTICLE I- NAME

The name of this club shall be the “The Green Valley Ranch Men’s Golf Club” (hereafter called the “GVR Men’s Club”, the “Club”, or the “Men’s Club”). 

 

ARTICLE II-PURPOSE

 

Section 1:

The purpose of the GVR Men’s Club is to promote interest in the game of golf by bringing together all mantras of golf experience.

 

Section 2:

The GVR Men’s Club shall seek to foster a close bond amongst its member for their personal and joint benefit, and to maintain the best interests of the game of golf.

 

Section 3:

The GVR Men’s Club shall conform to the USGA Rules of Golf, the USGA Handicapping System, and any local rules that apply or have been voted on by Green Valley Ranch Men’s Club Board of Directors.

 

Section 4:

The GVR Men’s Club will provide an authoritative body to govern and conduct all aspects of competition within the game of golf.

 

ARTICLE III- BOARD OF DIRECTORS

 

Section 1:

The Board of Directors shall consist of five or more members in good standing with the Green Valley Ranch Men’s Club and may include a steering committee to be appointed by the current Board of Directors.

 

            Sub Section 1:

            All powers of the GVR Men’s Club shall be exercised by or under the authority of         the Board of Directors.

 

            Sub Section 2:

            The Board of Directors shall control the business and affairs of the GVR Men’s                         Club in the best interest of the membership at all times.

 

 

Sub Section 3:

The Board of Directors is a voluntary position and will not receive compensation for performing required work, from monies held by membership.

 

Section 2:

The term of office for Board of Directors will be two consecutive years.  After two consecutive years, they may step down or are eligible for re-election.

 

Section 3:

Election of members to the Board of Directors shall be held at the close of the Men’s Club yearly tournament season.  Members who have served their two year term can opt to step down or ask to be re-elected. 

 

            Sub Section 1:

            Election to the Board of Directors shall be as follows:

A request for volunteers to the Board of Directors shall be posted via multiple communications (Club Bulletin Board, Green Valley Ranch Golf Shop, Website, or Email) at the end of the Men’s Club Tournament season.  After one calendar month of postings, a ballot shall be generated with all volunteer nominations.  Ballots will be available through the following media:  Website and Email.  Ballots will be counted by existing members, on the Board of Directors, and the highest vote recipient will be notified and asked if they will serve on the Board of Directors.  If the recipient does not elect to serve on the Board of Directors, the second highest vote recipient will be notified and asked and so on and so forth.

 

Sub Section 2:

If, during the course, of one Men’s Club Tournament season, a member of the Board elects to not continue their term, the Board of Directors has the power to elect a temporary member to fill the position, until the next election.

 

Section 4:

The Board of Directors shall have the power to conduct, manage, and control all affairs and business of the GVR Men’s Club.

 

            Sub Section 1:

The Board of Directors shall have the power to elect from its own membership a President, a Vice-President, a Treasurer, a Handicap Chairman, Tournament Director and any other position within the Board of Directors or Steering Committee, reporting to the Board of Directors.

 

Sub Section 2:

The Board of Directors shall have the power to enforce all Bylaws and Rules of Competition of the Men’s Club which the Board or committees within the Board may enact and assess penalties for violations that may occur.

 

 

Sub Section 3:

The Board of Directors shall have the power to conduct all financial affairs as it deems necessary for the betterment of the Men’s Club.

 

Section 5:

Voting and Quorum Requirements, for the Board of Directors, will be consistent throughout each meeting.

 

            Sub Section 1:

Any four members, of the Board of Directors, shall constitute a quorum for any meeting of the Club Board.  An affirmative vote by a simple majority of members, of the Board of Directors in attendance, shall be sufficient to determine any matter and transact any business.

 

ARTICLE IV- OFFICERS

 

Section 1:

Officers of the GVR Men’s Club shall be: President, Vice-President, Treasurer, Handicap Chairman, and Tournament Director.  All officers shall be Directors and no Director shall hold more than one office at any time.   

 

Section 2:

The President shall act as the chief executive of the Club, and will preside at all Board meetings, and all General or Special membership meetings.  He shall appoint all standing committees and such temporarily committees or Co Directors as may be needed.  He shall cast the deciding vote in case of a tie, and have no power to bind the Club except as authorized by the Board.

 

Section 3:

The Vice-President will discharge the duties of the President in the event of the President’s incapacity or absence.  The Vice-President shall also maintain and improve the Bylaws. 

 

            Sub Section 1:

The Bylaws may be amended or modified during the course of the year.  The request must be submitted to the Board of Directors, either in written form or in person at a committee meeting.  The proposed amendment(s) shall be well publicized, to the membership, one month prior to the vote.  All amendments must be voted upon and approved by a quorum of the Board of Directors.

 

Sub Section 2:

To amend the Bylaws, the Club requires a two-thirds vote of the Board of Directors present in a meeting specifically called for such purpose and a quorum being present.

 

 

 

Section 4:

The Treasurer shall receive, disburse, account for, and be responsible for all Club funds.  The Treasurer shall maintain adequate financial records to support all transactions.  He shall prepare all financial reports as required by the Board.  All disbursements must be by check or ATM transaction.  The President and the Treasurer shall be authorized to sign checks.  Financial records shall be retained for a minimum of seven years.  Financial records must be audited on a yearly basis by individuals other than those elected to the Club Board.  The results of the report of audit will be presented to the general membership and duly recorded in the applicable minutes of such meeting.

 

Section 5:

The Handicap Chairman shall ensure that all members’ tournament scores are entered and posted accurately within GHIN.  He shall make sure that the Equitable Stroke Rule has been applied.  He shall notify the Board when it is suspected that a player is not accurately posting his score.  He shall prepare the necessary paperwork to the CGA for handicap compliance and relay all communications, from the USGA and CGA, to the membership.  The Handicap Chairman will perform other duties as deemed necessary by the Board.

 

Section 6:

The Tournament Director will be responsible for all aspects of Men’s Club Tournaments.  The Tournament Director and the Board of Directors shall work with the GVR Golf Club on pricing, prizes, times, format, and any or all other aspects of the Tournament. 

 

ARTICLE V- MEMBERSHIP AND DUES

 

Section 1:

Membership shall be open to all men, 18 years of age or older, and of amateur status.  There shall be no precondition for membership nor will members be required to join any national, state, or regionally affiliated organization except the USGA for GHIN.

 

Section 2:

Membership, onto the GVR Men’s Club, confers no special privileges or voice in the operation of Green Valley Ranch Golf Club or Eagles Nest Restaurant.  Nor does it confer privileges into McGetrick Golf Academy.

 

Section 3:

Members in good standing with the GVR Men’s Club, grants the percipient one vote on all matters brought up by membership or the Board of Directors. 

 

Section 4:

 

All membership fees and dues shall be determined annually on the recommendation of the GVR Men’s Club Board of Directors.  Dues shall be paid before the first official GVR Men’s Club golf tournament.

 

Section 5:

The annual membership fee includes a GHIN card, provided by the USGA, and the invitation to play in all weekday and weekend events, held by the GVR Men’s Club.  Entry fees for weekday play, match play, and weekend events, is separate from the annual membership.  Entry fees will be determined, yearly, by the GVR Men’s Club and Green Valley Ranch Golf Club Professional Staff.

 

ARTICLE 6- DISCIPLINE

 

Section 1:

Complaints against Club members, that may require disciplinary action, by the Board of Directors, must be submitted in writing and addressed to the Board of Directors of GVR Men’s Club.  If the Board of Directors deems the complaint worthy, the President shall call for a hearing to be attended by all Officers and all parties involved. 

 

Section 2:

A member may be disciplined or expelled for cause by a majority vote of the Board of Directors.  If the member is expelled, they forfeit any and all dues.  No action will be taken until all parties have the opportunity to present their case.  Notification will be given, in writing, at least one week before the hearing is to be held.

 

Section 3:

Cause for reprimand or dismissal may include, but is not limited to, conduct unbecoming, flagrant violation of the Rules of Golf, extreme vulgarity, or any conduct that adversely reflects upon the Men’s Club or the Green Valley Ranch Golf Club.
